How exactly you can influence the developmentof the Company:

● legal due diligence of M&A targets● development of requirements and recommendations for the Company’s planned M&A projects● legal analysis and review of projects and products for compliance with regulatory requirements● preparation of transactional documents (SPA, SHA, NDA, Term Sheet, corporate resolutions, etc.)● drafting proposals related to transactions within the Company’s business operations● summarising contentious (disputed) issues and risks arising in the course of the Company’s commercial activities● providing expert legal support during meetings with counterparties and government authorities on legal matters related to the Company’s business

Challenges for three months:

● familiarising yourself with the group of companies’ structure and existing corporate processes● preparing or revising document templates for M&A transactions● conducting at least one comprehensive legal due diligence audit (or supporting external advisors)● providing opinions on possible legal risks in planned M/A projects

To achieve the results, you will need:

● at least 3 years of experience in legal positions within the M&A field● knowledge of international law in the M&A field (especially corporate, contract, and tax law)● experience in working in international companies or with international clients● participation experience in projects related to the purchase and sale of corporate rights, securities, or assets● understanding of the specifics of the IT business and relevant legislation (SaaS, IP, GDPR, etc.)● attention to detail, analytical thinking, and ability to work with large volumes of information● high level of responsibility, initiative, and ability to work independently● English proficiency at upper-intermediate level or higher● experience in preparing documents for the Antimonopoly Committee will be an advantage

How do you manage your working hours?

● Flexible schedule with required collaboration hours from 11:00 to 16:00● Days off with full compensation: 20 for personal needs, 10 for illness, 1 more on a birthday occasion (a gift from the company), up to 8 for blood donation
